Terms of Service

These Terms govern your use of Vidsou (the "Service"), operated by Melhem Studios LLC, a Maryland limited liability company ("Vidsou", "we", "us"). By creating an account or using the Service you agree to these Terms, our Privacy Policy and our Refund Policy. If you do not agree, do not use the Service. You must be at least 18 years old.
1. What Vidsou does
Vidsou is an AI production tool. It can (a) write and produce songs from your description and lyrics, using third-party music and text models, and (b) turn a song you upload or produce into a music video by analyzing the audio, writing a shot list, generating images with third-party image models, and editing them into a video file. The models we use change over time; current providers include OpenAI, fal.ai and the model vendors available through them (such as ElevenLabs, MiniMax and Google). Every song and image is generated by machines from your inputs. Results vary from run to run, are not guaranteed, and may contain errors, artifacts or content you did not intend.
2. Your content
You keep all rights to the audio, lyrics, images, descriptions and other material you upload or type into the Service ("Your Content"). You grant us a limited, non-exclusive license to store and process Your Content, and to send it to our AI providers, solely to provide the Service to you. You represent and warrant that you own or have licensed everything in Your Content, including any lyrics, melodies, recordings, photos and likenesses, and that submitting it to the Service does not infringe anyone's rights or break any law. If you upload a photo as a character reference, you confirm you have that person's permission to use their likeness in generated media.
3. Generated output
As between you and us, you own the songs, images and videos the Service produces for you ("Output"), and you may use them for any lawful purpose, including commercially, subject to these Terms and to the usage policies of the AI providers involved. We do not claim any rights in your Output. You accept the following about AI-generated media:
- Similar or identical Output may be produced for other users from similar inputs, and Output may resemble existing works by chance. We do not guarantee originality or uniqueness.
- Works created wholly by AI may not qualify for copyright protection in the United States or elsewhere. We make no promises about registrability or enforceability of rights in Output.
- Preset characters (such as Chloe, Nova or Kai) are fictional. They are shared across all customers, and no customer gains exclusive rights to them. You must not present any generated person as a real person, and you must not use the Service to imitate the voice, name or likeness of a real artist or public figure.
- Video and social platforms (including YouTube, TikTok and Instagram) apply their own rules to AI-generated media, including labelling requirements, content identification and monetisation policies. Meeting those rules is your responsibility, and we do not guarantee that Output will be accepted, monetised or free of claims on any platform.
4. Acceptable use
- No content that is illegal, sexually explicit, exploitative of minors, hateful, harassing, defamatory or violent, and no depictions of real people without their consent.
- No lyrics, recordings, artwork or photos you do not have the right to use, and no prompts that ask the models to copy an identifiable existing song, artist, character or brand.
- No attempts to overload, reverse-engineer, scrape or interfere with the Service, share accounts, resell access, or circumvent credit limits or safety filters.
Our AI providers run their own content checks and may refuse a request; where nothing is produced the credit is returned. We may remove content and suspend or terminate accounts that violate these rules, without refund.
5. Credits, plans and payment
Songs and videos are paid for with credits at the rates shown on the Pricing page. Credits are granted by subscription plans each billing period or bought as one-off packs, have no cash value, cannot be transferred, and are consumed when a job starts. If a job fails and nothing usable is produced, the credit is returned automatically. Subscriptions renew until cancelled; you can cancel at any time from the Credits page and keep access until the end of the paid period. Prices may change with notice, effective from your next billing period. Payments are processed by Stripe under Stripe's terms; we never see your card number.
6. Storage and deletion
Finished videos on free accounts are kept for 30 days and then deleted. Paid accounts keep songs and videos while the subscription is active. We may delete uploads, intermediate frames and takes you did not choose once a job is finished. Keep your own copies of anything important; we are not a backup service.
7. Copyright complaints
If you believe content on the Service infringes your copyright, email hello@vidsou.com with the URL, a description of the work you own, your contact details, and a statement made in good faith that the use is not authorised. We remove infringing content promptly and close the accounts of repeat infringers.
8. Availability and changes
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee uptime, processing times, the availability of any particular AI model, or that any specific song or video will be produced. We may change, suspend or discontinue features at any time.
9. Limitation of liability
To the fullest extent permitted by law, Vidsou, Melhem Studios LLC and their owners, contractors and providers are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to the Service or any Output, even if advised of the possibility. Our total liability for all claims in any twelve-month period is limited to the amount you paid us in the three months before the first claim, or fifty US dollars, whichever is greater. Some jurisdictions do not allow certain limitations; in those places our liability is limited to the extent the law allows.
10. Indemnity
You will defend and hold harmless Vidsou and Melhem Studios LLC from any claim, loss or expense (including reasonable legal fees) arising from Your Content, your Output, or your breach of these Terms, including claims that Your Content or Output infringes someone's copyright, trademark, publicity or privacy rights.
11. Disputes
These Terms are governed by the laws of the State of Maryland, USA, without regard to conflict-of-law rules. Before filing any claim, you agree to contact us at hello@vidsou.com and give us 30 days to resolve it informally. Any dispute that cannot be resolved that way will be brought in the state or federal courts located in Maryland, and you consent to their jurisdiction. Claims must be brought individually, not as part of a class or representative action, to the extent the law allows.
12. Termination and general
You may close your account at any time. We may suspend or terminate accounts that breach these Terms. Sections 2, 3, 7, 9, 10 and 11 survive termination. If any part of these Terms is found unenforceable, the rest remains in effect. We may update these Terms; we will post the new date at the top, and continued use after an update means you accept it.
